Welcome to ShalaPro, a product of Manthan Infotech. These Terms & Conditions constitute a legally binding agreement made between you and Manthan Infotech concerning your access to and use of the shalapro.com website and the ShalaPro Windows desktop software.

By downloading, installing, or purchasing ShalaPro, you agree to be bound by these terms.

1. Software License & Account Limits

ShalaPro is licensed, not sold, to you by Manthan Infotech for use strictly under the terms of this agreement.

• Email-Locked Activation: Your purchased subscription plan is permanently locked to the Email ID registered at the time of purchase. You cannot transfer, share, or sell this account to another school or individual.
• Loss of Credentials: If you lose access to your registered Email ID, Manthan Infotech will not resume, transfer, or migrate your plan to a new email address. You are solely responsible for maintaining your login credentials.
• Fair Usage: The software is intended for managing a single educational institution per license unless explicitly stated otherwise in your purchased plan.

2. Payments via Razorpay

We use Razorpay as our third-party payment gateway to process all transactions securely.

• Payment Authorization: By purchasing a plan, you authorize us (via Razorpay) to charge your selected payment method (UPI, Net Banking, Credit/Debit Card).
• Payment Failures & Liability: Manthan Infotech is not liable for any payment processing errors, bank server downtimes, or amounts deducted from your bank account but not successfully credited to Razorpay. Any such disputes must be resolved directly with your bank.
• Pricing Changes: We reserve the right to change our subscription pricing at any time. Existing users will not be charged extra during their active subscription period, but renewal will be at the new prevailing rates.

3. Digital Delivery & Activation

ShalaPro is a digital software product. No physical CD, USB, or hardware will be shipped to your address.

• Instant Activation: Upon successful payment via Razorpay, your account limits are immediately upgraded on our server.
• Software Download: You must download the ShalaPro executable application from our official website, install it on your Windows 10/11 PC, and log in with your purchasing Email ID to activate the premium features.

4. Strict No-Refund Policy

Because Manthan Infotech provides a fully functional demo/trial version of ShalaPro prior to purchase, you are expected to fully test the software’s compatibility with your computer systems and school requirements before making a payment.

Therefore, all sales are final. We do not offer refunds, partial refunds, or cancellations for any active subscription plans under any circumstances.

5. Limitation of Liability (Data Loss)

ShalaPro operates on an offline-first architecture, saving data locally in your Windows AppData folder before encrypting and syncing it to the cloud.

• Local Hardware Failure: Manthan Infotech is not responsible or legally liable for any loss of student, financial, or academic data due to hard drive crashes, Windows OS corruption, ransomware, or malware on your local PC.
• Server Failure: While we utilize Hostinger to store your zero-knowledge encrypted cloud backups, Manthan Infotech assumes no liability for data loss resulting from catastrophic server outages, network failures, or force majeure events.

6. Governing Law & Jurisdiction

These Terms shall be governed by and defined following the laws of India. Manthan Infotech and yourself irrevocably consent that the courts of Rajasthan, India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
